Business owners looking to form an LLC in New York State, Arizona, California or Texas often wish to do business under a different name than the one registered with the state. But what are the legal requirements for a corporation or LLC?
According to Business.gov, a fictitious business name filing is needed if you plan to do business under a name other than your personal legal name, the one listed on your partnership agreement, or for corporations and LLCs, the name listed in Article 1 of the certificate registered with the state.
A fictitious business name (also known as a DBA - Doing Business As) tells the state simply that you plan to operate some, or all, of your business under a different name.
However, a fictitious name is not the same as forming a new corporation or LLC, and will not release any legal liability.
Names are never a small issue in business, and are often protected as intellectual property. According to CNet, Best Buy recently requested that a priest in Wisconsin cease from driving his Volkswagon Bug labeled “God Squad” because of its similarity to the electronics store’s tech support team, the “Geek Squad.”
