A limited liability company is one of the most common and important business filing statuses, as it provides the liability and asset protection of a corporation while also circumventing some of the taxation and disclosure requirements entailed by such an entity.

LLC formation also varies from state to state. Some jurisdictions offer more esteemed legal systems, for example, while others include more amenable securities laws. Many organizations incorporate out-of-state for this reason. Delaware, Nevada, and, more recently, Wyoming, are the most popular states for doing so.

But even those states differ in their filing benefits. Delaware is often cited as the most common out-of-state filing location. This is due largely to the state's widely regarded judicial system. However, Delaware also offers LLC confidentiality, meaning business owners and proprietors are not required to list their name on any public documents or file formal amendments to their entity status.

With certain states, whenever there is a change in manager or member information, such as the mailing address, the LLC must be amended with the state to reflect the change. This means more paperwork and more fees.

A Delaware LLC filing offers an attractive degree of anonymity, the chief advantage of which is the avoidance of unpleasant and burdensome bureaucratic red tape.

Organizations can form a Delaware LLC by filing a simplified certificate of formation with the State of Delaware. Filing services usually list the name of the LLC and information on the registered agent, but the name of the owners and members is not listed anywhere in the documentations process.

Other states that offer LLC anonymity include Oklahoma, Montana, and New Mexico, each with respective filing regulations and procedures that should be weighed by organizations independently.

An Oklahoma LLC filing records the name and address of an LLC and its manager, the latter retaining full authority with or without ownership of the company.

Similarly, members of Montana LLCs do not show up on state government websites, as the state discloses the name of the LLC, the registered agent, and the main business address only. However, an individual could order a certified copy of the articles of organization, which would inform them of the managers and members listed within them.
